On March 7, 2025, the Board of Directors of Harley-Davidson, Inc. (the “Company”) approved and adopted an updated Code of Conduct (the “Code”), which applies to all directors, officers and employees of the Company, including its chief executive officer, chief financial officer and principal accounting officer. The Code supersedes the existing Code of Business Conduct adopted by the Board in 1995. The Code has been updated to modernize its language and better reflect the Company’s current day-to-day operations and work environment, including as it relates to elements of the code of ethics definition enumerated in Item 406(b) of Regulations S-K.
